Scam Letters Every Business Owner Should Know About

The moment you form an LLC or corporation, your mailbox becomes a target. Scammers send official-looking letters with state seals, fake deadlines, and scary language to pressure you into paying for things you don’t need. Some of the most common scams we see:

Workplace compliance posters charging $75–$300 for posters you can usually download free from your state or federal labor department.

Certificate of Good Standing – only the Secretary of State can issue this, and it usually costs a fraction of what scammers charge.

Annual minutes or “corporate compliance” fees. Most states don’t require you to file minutes at all.

Business license renewals - these notices often look real but have nothing to do with your actual city or county licensing office.

UCC filings - bogus notices saying you need to “renew” or “protect” your filing.

Tax submission services - letters that mimic the IRS or state tax agencies demanding payment for things that don’t exist.

Did you know the 1099-NEC threshold is changing?
For payments made in 2025, you still issue 1099-NEC forms at $600+.
For payments made in 2026, the threshold rises to $2,000 (forms due January 2027). Starting in 2027, it’ll be inflation-adjusted.

What to do now:

Keep requesting W-9s from every contractor.

Update your bookkeeping rules for 2026 so totals under $2,000 don’t trigger a form (but still record the expense—taxable income rules don’t change).

Watch for special cases (e.g., attorney payments).

Friday FAQ: 5 Mistakes New LLC Owners Make in Year One

Starting an LLC is a big milestone, but the first year is also where we see most people stumble. Here are five of the biggest mistakes new business owners make (and how to avoid them):

1. Missing required state filings.
Annual reports, franchise tax filings, and public information reports sneak up fast. Missing them can mean late fees, penalties, or even losing your right to do business in the state. The worst part? Most owners don’t even realize the deadlines exist until they get a scary letter.

2. Mixing personal and business money.
When you use the same bank account for both, you risk losing the liability protection your LLC gives you. Courts can “pierce the veil” if your finances aren’t separate. A clean paper trail with a dedicated bank account is your first line of defense.

3. Skipping the operating agreement for Multi Member LLCs.
Even if your state doesn’t require one, it’s a mistake to go without. An operating agreement spells out how your LLC is managed, how profits are split, and what happens if a member leaves. Think of it as your company’s rulebook. Without one, you’re leaving a lot to chance.

Thinking about expanding your business into another state?

Well, you can’t just show up and start selling refridgerators in Tennessee if your LLC is from Texas. The state wants you to play by their rules first. That means registering as a “foreign LLC,” filing for a Certificate of Authority or the applicable state equivalent, proving you’re in good standing, appointing a registered agent, and paying their fee (yes, every state wants a slice).

On top of that, you’ll have to keep up with their annual reports and tax rules, in addition to your home state’s. Some states even throw curveballs, for instance New York makes you publish in a newspaper like it’s 1895, and California hits you with an $800 annual tax just for existing.

And also of you're a regulated industry you may need to get liscensed or registered in the new state.

If you skip it, you could face fines, lose access to that state’s courts, or even have contracts tossed out. Not a good idea.

Not planning for taxes is one of the biggest mistakes new business owners make.

When you form an LLC, the state doesn’t magically remind you to set aside money. The IRS expects quarterly estimated payments, and so does your state if you’re in one that taxes businesses. If you wait until April to deal with it, you can get hit with penalties, interest, and a surprise bill that eats your profit.

A simple fix is to set aside a percentage of every dollar you earn into a separate tax account. Even 20–30% is a good starting point. That way tax time is just moving money, not scrambling to find it.

Did you know when you sign contracts for your LLC, you should sign in your company capacity, not just your personal name

For example, format it like this so it is crystal clear who is bound by the contract:
ABC LLC

That tiny detail keeps the line between you and your company clean and helps prevent anyone from arguing you personally guaranteed the deal. Which title you use depends on how your LLC is set up. Member-managed means members sign. Manager-managed means managers sign.

Forgot to file your Public Information Report?

One of my past clients brought me one of these final notices from the state this morning. It’s the last warning before you forfeit your right to do business.

Thankfully, he caught it in time and we got him filed and back in good standing. But a lot of people miss these or toss them aside, and that’s when the trouble starts.

When you form an LLC, one of the first choices you’ll make is how it’s managed. That decision sets the tone for how your company actually runs.

A member-managed LLC means all the owners (members) share in running the business. Everyone has a say, can sign contracts, and is part of the day-to-day. It’s a great fit for small teams where everyone’s rolling up their sleeves.

A manager-managed LLC puts leadership in the hands of one or more designated managers. Not every owner is involved in daily decisions. This setup typically works best if some members are just investors, or if you want clearer lines of authority.

Picking the wrong setup can cause big headaches later about who has signing power or decision-making authority.

How do I close my Texas LLC properly?

Closing a Texas LLC the right way isn’t just “walking away.” Think of it like canceling your phone plan. If you just stop paying, yes the service gets cut off, but you’re left with a pile of fees and the company can still come after you.

Same with the state. If you walk away, your LLC will lose good standing, your liability protection ends, and penalties start stacking up.

Eventually the state will administratively dissolve your entity, but the fees don’t disappear, and you don’t want that.

In Texas, the proper way is a two step process. First, request a Certificate of Account Status from the Comptroller. This shows you’re current on your annual reports and eligible for termination. Then, file a Certificate of Termination with the Secretary of State. You’ll need to attach the Comptroller’s clearance and pay the filing fee.

Once approved, your LLC is formally dissolved. After that, don’t forget to tie up loose ends like canceling contracts, closing business bank accounts, filing a final IRS return, and wrapping up insurance or licenses.
