What is a Registered Agent?
A Registered Agent is a designated individual or professional service responsible for receiving important legal and government documents on behalf of your business. These documents can include lawsuits, tax forms, compliance notices, and official correspondence from the Secretary of State or IRS.
Every LLC or corporation is legally required to have a Registered Agent in the state where the business is formed. The Registered Agent must have a physical address in that state (not a P.O. box) and be available during regular business hours to accept documents.
In some cases, a business owner can serve as their own Registered Agent, but many choose to hire a professional service to maintain privacy, ensure compliance, and avoid the risk of missing important deadlines. Using a third-party Registered Agent is especially useful if you work from home, travel often, or operate in multiple states.
Failing to maintain an active Registered Agent can lead to serious consequences, including fines, loss of good standing with the state, or even administrative dissolution of your business. In short, your Registered Agent plays a critical behind-the-scenes role in keeping your company legally compliant and protected.
