Corporations and licensed businesses in Ontario must obtain a 𝗖𝗢𝗠𝗣𝗔𝗡𝗬 𝗞𝗘𝗬 issued by the Ontario Ministry of Government and Consumer Services. Your 𝗖𝗢𝗠𝗣𝗔𝗡𝗬 𝗞𝗘𝗬 is required to keep your corporation or business registration in good standing. As with any government service update, you may find there are challenges to obtain a company key. If you have let your corporate annual returns lapse or failed to file timely information updates your business information at the Ministry may be out of date. A 𝗖𝗢𝗠𝗣𝗔𝗡𝗬 𝗞𝗘𝗬 will only be mailed to the head office address on file with the Minister. If your business has moved you will have to file a Notice of Change to update the Ministry records. Only then can you receive your 𝗖𝗢𝗠𝗣𝗔𝗡𝗬 𝗞𝗘𝗬. Why should you take action to ensure your corporation or business registration remains in good standing? With the introduction of the new Ontario Business Registry, the Ministry of Government and Consumer Services are poised to keep the data base up to date. This means that if your registrations are not up to date your company can be dissolved with a simple keystroke. Corporate revivals are costly. Did you know that if you fail to file your annual Corporations Canada return your corporation can be involuntarily dissolved? This means that the existence of your corporation is terminated. This leads to all kinds of negative consequences. Your trade name can be lost and your are required to formally apply to revive your corporation and pay the filing fees. An annual return filing fee is $12.00 and must be filed each and every year. TAS is a registered Corporations Canada Intermediary. We file all CBCA returns remotely - On demand CAO.

Changes to the 𝗢𝗻𝘁𝗮𝗿𝗶𝗼 𝗕𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝗖𝗼𝗿𝗽𝗼𝗿𝗮𝘁𝗶𝗼𝗻𝘀 𝗔𝗰𝘁 came into force on July 5, 2021. Section 104 of the OBCA has been expanded to include a new provision for private corporations (not trading/ offering securities to the public). Written resolutions to deal with all matters normally dealt with at an in person meeting are permitted, however, this change allows private corporations to satisfy all requirements as long as the resolution is signed by a majority of the shareholders or their authorized attorney. Previously, the only option was to have every single shareholder (100%) sign off on a written resolution. This change provides private corporations flexibility to deal with business as long as a majority of shareholders are available.

Later this year, The Province of Ontario will launch the Ontario Business Registry, a brand-new digital Business Registry that will provide businesses and not-for-profits with a simple online tool to complete registrations, filings and other important transactions. Government services will be accessible online 24/7, with instant fulfilment and automated notices. Did you know that effective May 15, 2021 Ontario Annual returns are no longer filed with CRA.
