My client, a large corporate based in Somerset West, has a need for a Company Secretary.

They provide company secretarial functions for a portfolio company of an unlisted public company.

This company is an investment vehicle that invests in companies that support food security.



Responsibilities



This person will be responsible for the company secretarial duties of several portfolio companies with the following responsibilities



Create and maintain statutory registers and records for companies and trusts.

Provide guidance to the various meetings regarding governance matters, including adherence to Memorandums of incorporation, policies, charters, and approval frameworks.

Assist with the induction of new board members and the ongoing training and development of directors and trustees.

Ensure compliance with the Companies Act and other related legislation.

Prepare agendas, meeting packs and minutes for various companies, boards of trustees and committees and distribute them within the deadlines.

Ensure that minutes of meetings are correctly recorded, approved, and circulated on time.

Ensure board and trust decisions are correctly recorded and that matters arising are circulated to the responsible persons after every meeting.

Updating of governance documents, including board charters, frameworks, and policies.

Liaising with directors, other company secretaries, service providers and external auditors.

Filing all statutory returns and forms with CIPC and managing all processes involving CIPC.

Assist with the over-the-counter trading of the holding company’s shares.



Qualifications and requirements:



A minimum of 5 years of working experience in company secretarial work.

CIS Diploma or a legal degree with completed articles.

Working knowledge of company secretarial software.

Working knowledge of a document management system.

Own transport and a valid driver’s license.





Knowledge & skills:



Solid understanding of corporate governance developments, and corporate law, especially the Company’s Act and King reports.

Efficient minute-taking.

Interpersonal skills.

Detail-oriented and strong organisation skills.

Engineering Maintenance Administrator

My client is a highly reputable packaging company in the Northern Suburbs of the Western Cape.

The main task of the role is to ensure that the planning and administrative work for total maintenance and repair of all machinery and company assets, including buildings and premises, as well as continuous modifications and upgrading of machines. This is done to ensure optimal productivity and plant efficiency

Take full responsibility for the Preventative Maintenance of the factory.

• Establish, maintain, and improve the maintenance planning and schedule maintenance shutdowns.
• Scope the full extent of the maintenance work needed to conduct the relevant repair/preventative/predictive/design out activities on machinery.
• Develop cost and time estimates of planned maintenance work.
• Print and distribute preventative maintenance cards as per schedule.
• Purchase all necessary parts, equipment, services and documentation to perform the maintenance work.
• Write applicable maintenance procedures and update asset information on Pragma system.
• Schedule maintenance work into production plan.
• Collaborate with maintenance supervisor to schedule manpower and resources for the most effective production and maintenance outcomes.
• Apply good stores management practices and parts management to ensure parts and equipment retain full reliability while stored.
• Capture maintenance cards on Pragma system as well as verification for completeness and analyse Pragma reports.
• Able and competent in root cause analysis, and investigation.

• Ensure the accurate and timeous completion of all administrative duties.

People Management


• Managing day-to-day issues on property maintenance

Ensure plant efficiency as well as fostering a positive work attitude among team members and labour flexibility

Safety and Housekeeping

• Always ensure occupational safety and housekeeping.
• Conducting regular safety and housekeeping inspections.
• Implementing safe working standards and procedures.

Overseeing that contractors adhere to safe working practices and regulations, to minimize unnecessary injuries on duty as well as ensuring a safe and neat working environment for optimal productivity.

Position Requirements

• 3 Years relevant experience in a FMCG environment
• Relevant maintenance, planning, and scheduling experience.

Valid, unendorsed Drivers and Forklift license – must be more than 2 years old

Job Overview
Responsible for the performance of the trading book and ensuring that the desk is successful in operations, sales, and profitability.

Trade Ex*****on or Dealing:

• Executing trades on behalf of clients. This includes securing exchange rates to buy and sell foreign currency in a timely and accurate manner and managing margins to maximize the profitability of transactions for clients within set parameters.
• Monitor market conditions to assess the impact of economic events on the financial markets and currencies. This includes understanding market trends and familiarizing yourself with current events and news to always stay informed.
