From 1 May 2026, SARS will begin imposing administrative penalties for the non-submission of trust income tax returns (ITR12T). This marks a significant shift in trust compliance enforcement, affecting all types of trusts – active, dormant and passive.

Who really controls the company?

If a natural person owns 5% or more, or exercises control — even indirectly — they must be disclosed to CIPC.

Structures don’t replace people.

🔐 Important POPIA Update: Security Compromise Reporting

The Information Regulator of South Africa has introduced a new official process for reporting security compromises (data breaches).

📌 Security compromise reports must now be submitted via the official online platform — not by email.

This applies to all companies and organisations that experience:
• unauthorised access to personal information
• data leaks or cyber incidents
• loss or exposure of customer, employee, or supplier data

Failure to report a security compromise correctly and timeously may place a business in breach of POPIA.

Lexicor can assist with:
✔ determining whether an incident is reportable
✔ preparing a compliant security compromise report
✔ submitting the report via the correct platform
✔ advising on POPIA compliance steps thereafter

If your business handles personal information - this update is not optional.

⚠️ Important Notice: Reinstating a Deregistered Company or CC

The Companies and Intellectual Property Commission (CIPC) has introduced a new Compliance Assurance Check for all re-instatement applications.

What does this mean in practice?

If you are applying to reinstate a Company or Close Corporation, you must now provide evidence that the business was operational or had economic value at the time it was finally deregistered.

This may include:
• proof of trading activity
• bank statements
• contracts or invoices
• asset ownership or other economic indicators

Reinstatement is no longer a simple admin exercise — applications that do not meet this requirement may be rejected.

Lexicor can assist with:
✔ assessing whether your entity qualifies for reinstatement
✔ identifying the correct supporting documents
✔ preparing and submitting a compliant application

If your company or CC was deregistered and you’re unsure whether reinstatement is still possible, it’s important to get advice before applying.

📢 Important Update for Business Owners

Since 8 December, the CIPC has automated the voluntary deregistration of Companies and Close Corporations.

In plain terms:
If a business is no longer trading, it can now be formally closed faster and more efficiently — provided it meets the requirements.

Many companies remain registered long after they’ve stopped operating, which can lead to:
• unnecessary compliance risks
• admin complications
• problems when directors want to start new ventures

Lexicor can now assist with voluntary deregistration, guiding you through the process correctly and ensuring everything is done in line with CIPC requirements.

If your company or CC is no longer active, it may be time to close it properly.
