*Beneficial Ownership Declaration (BOD)*

Hello..
Do you have a CIPC registered or CSD enrolled entity? Is this entity trading or not? Annoyed by the unclear texts and emails regarding filing of beneficial ownership? Are you alarmed by reminders to file Annual Returns, or AR’s? By now you may have received notifications of default and penalties should your BOD not be filed.

So the CIPC, together with CSD and SARS – expects annual filing of returns even be it R nil returns.

Effective 01 July 2024, all CIPC registered or CSD enrolled entities – ito the companies Act, (as amended) – will not be able to file AR’s (annual returns) nor will CSD consider your entity compliant – unless Beneficial Ownership Declaration or Securities Register(s) is lodged. Non-compliance or failure to comply, will result in punitive measures being enforced such as – formal investigation processes, and/or a court sanctioned administrative fine and possible deregistration.

This initiative is part of the broader effort to enhance transparency and combat money laundering and terrorism financing.

Filing your BOD, is a "mandatory submission". Businesses must submit Beneficial Ownership information when filing their Annual Returns.
