How to Register a Company in Zimbabwe

To get a company registered in Zimbabwe, you have to choose either one of the two options, to register it as a PBC or Pvt(Ltd)

PBC means Private Business Corporation which is meant to cater for small businesses. To register as a PBC you should have at least a single director. A PBC is ideal for single ownership.

Pvt(Ltd) means Private Limited Company meant to cater for medium to large business. To register a Pvt(Ltd), you should have between 2 to 50 shareholders and registering one will come with annual regulations and commitments to different financial bodies.

To register your company you should;

1. Have 1 to 4 preferred names for your company.

2. Choose whether your company will be a PBC or Pvt(Ltd)

3. Provide full names, addresses and ID's of the directors for a PBC or shareholders in a Pvt(Ltd).

4. Sign the incorporation statements that will be submitted at the registrar's office.

Registration as a PVO / Trust
HIV and Health CSOs need to be legally registered as a Non–Governmental Organization with the government of Zimbabwe under the Private Voluntary Organizations Act 5:17 ZAN registered as a PVO in 1994 and the registration credentials are (PVO WO 5/94). To comply with registration procedures; CSOs need to have a mission statement and goals that clearly outline its mandate and these are enshrined in the organization’s constitution, strategic documents and policy documents and frameworks namely the Board Charter, CSO Constitution, Code of Conduct, Decentralization Policy (if relevant), Membership Policy, Human Resources Policy, Finance and Procedures Manual.

Guidelines to register as a Non-Governmental Organization (NGO) Private Voluntary Organization (PVO) in Zimbabwe
Non-Governmental Organizations in Zimbabwe are registered as either a private voluntary organization (PVO) or a Trust. PVOs are registers under the Ministry of Public Service Labour and Social Welfare. Trusts are registered under the Ministry of Justices through the Deeds Office. For Trusts organizations have to engage the services of a lawyer who assists in drafting a Notarial Deed of Trust which the lawyer submits to the Deeds office. PVOs are registered in terms of the Private Voluntary Organization Act (PVO, ACT), with the Department of Social Welfare under the Ministry of Public Service Labour and Social Welfare.

For easy reference for the registration process, ZAN has produced the following guidelines for organizations that want to register as PVOs. It is our hope that the following guidelines will provide clearer information on the registration process.

When applying for registrations as a PVO, bring the following with you:
A draft constitution
Detailed CVs of all Board Members (Chairperson, Vice- Chairperson, Treasurer and Secretary)
Legal Notice advertised in any of the national papers.
Step by Step:
Application for registration as a PVO should be made through a District Social Welfare Office.
A representative from the organization must, personally, go to the local District Social Welfare Office and present the application for the registration as a PVO.
The organization should also request for a checklist form, to ensure that the constitution of the organization includes all the required clauses.
Any further assistance in respect of establishing a PVO should be obtained from the District Social Welfare Office.
The District Social Welfare Office should confirm in writing that the organization intending to register as a PVO has a constitution that is aligned to the PVO ACT requirements.
The organization is obliged to advertise a legal notice in any national/regional paper that it intends to be registered as a PVO.
Submission:
After submitting the organization’s draft constitution; the District Social Welfare Office will review the constitution and advise the applicant accordingly. If the draft is satisfactory, the District Social Welfare Office will request for 18 copies of the constitution.
In the event that the organization constitution is not aligned to the PVO ACT; the District Social Welfare Office is to advise the applicant on the relevant amendments and provide a checklist to be used as a guide.
Following:
The Application Form (1 copy only)
Constitution (18 copies)
Detailed CVs of all Board members (4 copies)
The local District Social Welfare Office will acknowledge receiving the application and open a pending file and give the applicant a reference number. The local District Social Welfare Office will then submit the application to the provincial social Welfare Office (PSWO), which will check the application for abnormalities.
In case of discrepancies, the PSWO will advise the District Social Welfare Office, which will contact the applicant.
In case of no discrepancies, the PSWO will submit the full application to the registrar of PVOs.
Registration Process:
The decision to register all PVOs lies with the relevant Private Voluntary Organization k:
A legal advisor from the Ministry of Justice
A representative from the Ministry of Health
A representative from the Ministry of Finance
A representative from the Ministry of Public Service, Labour and Social Welfare
A representative from the Ministry of Foreign Affairs
A representative from the Ministry responsible for cooperatives
5 representatives from the umbrella body
NB: The successful applicant will receive the information through the local District Social Welfare Office and a certificate of registration.

Obligation:
A registered PVO has an obligation to:

Yearly submit Audited Accounts (by a registered public auditor)
Yearly submit an Annual Report of activities.
NB: If the PVO fails to do so, the registrar of PVOs can de-register the PVO, if the organisation is in arrears 3 years and above. NB: Many organizations engage lawyers and business consultants to produce a constitution. The problem with is that; many times the lawyers or consultants are not constitutional experts on issues concerning NGOs. Often an application is rejected, due to the fact that the constitution is irrelevant or too commercial to be registered as a PVO. Normally District Social Welfare Office advises applicants to consult with a social worker, who will advise on constitutional issues.

*Govt orders Re-registration of All Local Companie

THE Government could rake in millions of dollars after the enactment of a new law that requires all registered companies in Zimbabwe to re-register.

All existing companies which were registered before February 22, 2020, are required to re-register with the Registrar of Companies within a period of 12 months according to the new Companies and Other Business Act [Chapter 24:31].

The new Act which came into effect in the first quarter of 2020 gave companies up to March 2021 to complete the new registration process or risk being struck off Companies Register.

Deputy finance minister, Clemence Chiduwa, confirmed the development but referred further questions to the justice and industry ministries.

“Yes, I can confirm that that the new Companies Act requires all companies to re-register, but I cannot comment on that because the registration of companies falls under the ministry of justice and their operations fall under the industry ministry. So those are the rightful ministries to comment on that matter,” Chiduwa told NewZimbabwe.com.

However, Justice Minister Ziyambi Ziyambi could not be reached for comment as his mobile phone went unanswered while efforts to get a comment from Industry Minister Sekai Nzenza were also fruitless as her mobile was not reachable.

According to the new Companies Act, the latest regulations seek to curb shortcomings in the manual registration process through the introduction of electronic registration.

The re-registration exercise is said to be an administrative process aimed at establishing a new and updated register of companies so that inactive companies do not appear on the updated companies register.

Although the E-Government initiative is aimed at achieving quicker, simpler, and more transparent turnaround processes, it is primarily targeted at improving the ease of doing business in Zimbabwe.

However, the new process has led to serious congestion as company owners rush to beat the deadline and maintain the smooth flow of their operations.

The chaotic situation was reportedly exacerbated recently when the Registrar of Companies’ Office ran out of a special paper needed to print Certificates of Incorporation.

One businessman who spoke on condition of anonymity said although the new Act seeks to promote computerisation of the Registrar of Companies’ Office and promote decentralised and quick company registrations, a lot needs to be done.

“I have frequented this office for more than two months now trying to register my new company, but the chaos here is pathetic. To worsen the matter, I was told that they have run out of paper to print Certificates of Incorporation. That shows poor planning. How is it that they start a new thing without adequate resources?

“To be frank the Act requires commitment for it to become effective as it is already evident the implementing office is struggling with the new requirements just a few weeks since its inception.

“The Companies’ Office must, therefore, be adequately capacitated to meet the requirements of the new law and players seeking company registration,” he said.

The new Act repeals the old Companies Act, which was crafted on April 1, 1952, and incorporated provisions of the Private Business Corporations (PBC), encouraging small to medium enterprises to register and be recognised as players in the market.

However, the previous Act had over the years been overtaken by constitutional, technological, economical, and other changes.

The new Act will also empower the Registrar of Companies to strike off defunct business entities from the register. It also stipulates that shelf or shell companies that do not file returns on the anniversary of their incorporation shall be removed from the register.
