Deadline Extended, But Don’t Relax Yet
Think you can ignore company re-registration for now? Not so fast.

The Government of Zimbabwe has officially extended the mandatory re-registration deadline for companies and Private Business Corporations following the gazetting of Statutory Instrument 76 of 2026.

The new deadline is now 20 April 2028.

For many business owners, this extension brings relief. Thousands of companies were racing against the previous deadline while trying to manage daily business pressures, tax obligations, and banking requirements.

The extension gives businesses more time to migrate to the new digital company registry under the Companies and Other Business Entities Act. However, business owners should not treat this as a reason to delay action completely.

Banks, financial institutions, and other authorities continue to tighten compliance checks. Some businesses already face requests for updated registration records when applying for loans, opening accounts, processing transactions, or renewing contracts.

Waiting until 2028 creates unnecessary risk.

Many Zimbabwean businesses only act when deadlines are close. This often leads to long queues, system delays, missing documents, and rushed applications. Early compliance helps businesses avoid operational disruptions and gives owners peace of mind.

Moving to the new digital registry also improves record management and company verification processes. Businesses with updated records are in a stronger position when dealing with investors, suppliers, regulators, and financial institutions.

Provisional tax ensures that government revenue flows steadily throughout the year rather than waiting for annual returns. It is a “pay as you earn” mechanism for businesses and self-employed persons, designed to:

• Prevent accumulation of large tax liabilities at year end.
• Promote fiscal discipline and accurate forecasting of taxable income.
• Support national budget funding through quarterly inflows.

Each return must declare estimated taxable income and tax payable, calculated using current rates (25.75% corporate tax inclusive of the 3% AIDS levy).

Consequences of non-submission
Failure to submit or pay provisional tax attracts penalties;
• Interest on unpaid tax.
• Monetary fines.
• Backdated assessments by the Commissioner General of ZIMRA.
• Possible prosecution for persistent noncompliance.
