SHELF COMPANIES

A Shelf Company is a readily available/an existing and non operating registered company.

The advent of shelf companies in the early 1990s was to relief investors who wanted to commence business quickly without going through the registration process. However there is need for buyers to take note of the following:

• Ensure that all documents are genuine by conducting a file search at the companies office.
• Shares must be transferred from the subscribers to the buyers.
• The seller must surrender all documents pertaining to the company (original documents).
• All statutory returns which became due before the company was sold must be up to date or must be updated by the seller.
• The person or firm which registered the company must submit first the CR14 Forms changing Directors and Secretary.

Always deal with the professionals to avoid inconveniences otherwise it is advisable to register a new company. Cost is cheaper and less paperwork involved.
