“Why can’t I see the full books before I make an offer?”

I get asked this every week. It’s a fair question, and here’s the honest answer.

Before an offer, a serious buyer gets enough to make an informed decision. That means a confidentiality agreement, an information memorandum, summarised financials, and a conversation with me about how the business actually runs and an inspection of the business.

What they don’t get is everything: full tax returns, supplier contracts, staff details, customer lists, lease disclosures etc
