Does the NY SHIELD Act apply to a 20-person business? Yes, and it has for years.

If you hold a New York resident's personal data, you owe a written data security program. Your office does not have to be in New York for that to be true.

The part that catches people: notification has to go out no later than 30 days after you discover a breach, tightened in December 2024. Failing to maintain safeguards runs up to 5,000 dollars per violation.

Being under 50 employees does not exempt you. It just lowers the bar to reasonable safeguards sized to your business.

The risk is rarely the new provider. It is the gap in between, when two vendors both assume the other is watching.

Verizon's 2025 Data Breach Investigations Report found third-party involvement in breaches doubled year over year to roughly 30%. A transition where two vendors hold partial access is exactly that kind of ambiguity.

Who owns your admin credentials, you or your IT company?

Most contracts never answer that. On Microsoft's own forum, a business was locked out of its own email while its provider held the only admin logins and let the subscription lapse over about $80 owed.

An IT contract guarantee should say plainly that your data, systems, and credentials are yours, returned at no fee, inside a set number of days.
