WHY BUY AN ESTABLISHED BUSINESS?

For many prospective owners, buying an established business can provide a significant head start.

Instead of beginning at zero, you may be stepping into a business with:

Profit is important, but buyers also want to know what happens when the current owner leaves.

If you still manage the key customers, staff, suppliers, pricing and important decisions, a buyer may see greater transition risk.

Ask yourself:

Could the business operate successfully if I stepped away for 30 days?

If the answer is no, owner dependency may be worth addressing before you sell.

Building a capable team, documenting processes and sharing key relationships can make a business easier to transfer — and easier for a buyer to have confidence in.

If selling may be on the horizon, preparing early gives you more time to make those changes.

A franchise can provide a different route into business ownership.

Rather than building everything from scratch, you're entering an established system that may already provide:

✅ Training and ongoing support
✅ Established systems and processes
✅ Marketing resources
✅ A broader franchise network

For some buyers, that structure and support can be very attractive.

But there are trade-offs.

Franchise fees, ongoing royalties, operating requirements and restrictions on how you run the business can mean less independence than owning an established non-franchised business.

And just like any business acquisition, buying a franchise still requires careful investigation.

Understand the financial performance, franchise agreement, fees, obligations, territory, transfer conditions and what you're actually acquiring before committing.

Buying an established business can mean stepping into an operation where many of the foundations are already in place.

5 things buyers look at before they make an offer

A profitable business is not automatically an easy business to sell.

Before making an offer, buyers are trying to understand the risk behind the numbers.

They will usually look closely at:

✅ Maintainable profit
What will the business realistically earn after settlement?

✅ Owner dependency
Does everything still depend on the current owner?

✅ Customer concentration
Would losing one major customer materially affect the business?

✅ Systems and people
Can the business continue operating smoothly under new ownership?

✅ Evidence
Do the financials, contracts, leases and records support what the buyer has been told?

The real question a buyer is asking isn't simply:

“How profitable is this business?”

It is:

“How confident am I that this profit will continue after the owner leaves?”

If you're considering selling in the next 12–24 months, these are areas worth looking at now rather than waiting until a buyer starts due diligence.

**What you need from the sale is not necessarily what the market will pay.**

For many business owners, the target sale price is tied to something very real:

• retirement plans
• debt repayment
• the next investment
• years of hard work
• a figure they have had in mind for a long time

But buyers look at the business differently.

They assess the maintainable profit, risk, owner dependency, systems, growth prospects and what comparable businesses are actually achieving.

That does not mean owners should undersell.

It means the strongest position is to understand the value first — then prepare the business so there is evidence to support it.

**My view:** unrealistic pricing does not protect a seller.

Preparation, evidence and genuine buyer competition do.

Starting a business from scratch can be incredibly rewarding.

You have the freedom to develop your own concept, build your own brand and shape the business around your vision.

But that freedom comes with work.

Customers need to be found. Systems need to be built. Staff may need to be recruited. Brand awareness has to be established. And revenue can take time to develop.

That doesn’t make starting from scratch the wrong option — it simply means prospective owners should understand the journey ahead.

For some people, building everything themselves is exactly what they want.

For others, buying an established business may offer a more direct path to ownership.

What happens when the buyer you’ve been talking to for years suddenly walks away?

We recently heard from a business owner who had been dealing with the same prospective buyer for two or three years.

They believed the sale would eventually proceed.

Then the buyer decided not to go ahead.

The lesson isn’t that direct sales are a bad idea. They can work extremely well.

The lesson is that one interested buyer should never be your only strategy.

Before committing too heavily to one party, make sure you know:

✓ what the business is really worth
✓ whether the buyer can actually fund the transaction
✓ whether the terms are right
✓ what your alternative options are

A buyer expressing interest is valuable.

A properly managed sale process gives the owner options.

If someone has already approached you about buying your business, it can be worth getting an independent view before you agree on price or terms.
