Thinking of using your home address to register a Singapore company?

A residential address may be suitable for a small, administrative business, but there are several matters to consider first. These include the relevant HDB or URA requirements, registered-office obligations and the fact that the company’s address may be publicly available.

Our latest guide explains:

✓ Using an HDB flat or private residential property
✓ The Home Office Scheme
✓ Home address privacy considerations
✓ When a registered office service may be more suitable

The ONE Pass is one of Singapore’s most flexible work passes for established professionals, senior executives and founders.

Unlike an Employment Pass, it is tied to the individual rather than a single employer. This allows a holder to start, operate and work for multiple companies without reapplying each time they change roles.

A ONE Pass holder can also own shares in a Singapore company and take up a directorship without obtaining a separate Letter of Consent.

Our latest guide covers:

• Who qualifies for the ONE Pass
• The S$30,000 salary requirement
• Benefits for founders and senior professionals
• Whether a holder can serve as a local resident director
• Renewal requirements
• ONE Pass vs Employment Pass vs EntrePass

S$1 is the legal minimum paid-up capital required to incorporate a Singapore company.

However, the amount you choose may still affect your company’s credibility and future business plans.

For example, higher paid-up capital may be relevant when dealing with commercial landlords, corporate clients, traditional banks, government schemes or an EntrePass application.

Our latest guide explains what paid-up capital actually affects, what it does not affect, and how much may be appropriate for different types of businesses.

If you own a Singapore company, you should not simply transfer money from the company bank account to yourself casually.

For founder-directors, the common ways to pay yourself are:

• Salary
• Director’s fees
• Dividends

Each option is treated differently.

Salary may attract CPF if you are a Singapore Citizen or PR, and the applicable CPF rates depend on your age and the prevailing CPF rules.

Director’s fees do not attract CPF, but they need to be properly approved by shareholders before payment.

Dividends are generally tax-exempt in the hands of shareholders, but they can only be paid out of profits available for distribution.

We prepared a simple guide explaining the CPF, tax, approval, and documentation points for each method.

There are three legitimate ways to pay yourself as a director: salary, director's fees, and dividends. Each works differently, with its own tax treatment, CPF implications, and admin requirements.

GST-registered businesses in Singapore will need to transition to InvoiceNow over the next few years.

From 2026 to 2031, the GST InvoiceNow requirement will be rolled out in phases. Eventually, all GST-registered businesses will need to issue, receive, and transmit invoice data to IRAS through InvoiceNow.

For businesses already using cloud accounting software, this may be a simple setup exercise.

For businesses still using Excel, PDF invoices, or manual bookkeeping, it is worth planning the move earlier.

We’ve put together a simple guide covering:
• What the GST InvoiceNow requirement is
• Who is affected
• The phased implementation timeline
• What businesses should do to prepare

ACRA is waiving the $40 filing fee for providing an alternate address until the end of 2024. If you are concerned with your residential address being publicly shown on your business profile, you are strongly advised to file an alternate address.

The alternate address will then be your contact address once the Contact Address Regime has transitioned over.

ACRA will be transitioning to the Contact Address Regime by the end of 2024. From 2025 onwards, this new structure will take place. The Contact Address Regime benefits stakeholders by protecting the privacy of residential addresses filed with the Registrar. Current Address Structure in 2024 As of 20...
