Most owners assume they will exit on their own terms — when the time feels right and the market looks good.

The data tells a different story. Half of all business exits are forced by circumstances the owner didn't choose or plan for. Knowing what those triggers are — and building a plan before they arrive — is one of the most important things an Idaho business owner can do. 📋

Every seller who sits down for a Confidential Business Review at Arthur Berry & Co. walks in with the same four questions.

Is my business marketable? What is it worth? How long will it take to sell? What is it going to cost me?

Those questions are the starting point. The real conversation goes deeper.

We spend time getting to know the business and the person behind it. What motivated them to reach out, what their objectives are, and what a realistic timeline looks like given where they are today. Setting honest expectations is a major part of what happens in that room, because a seller who understands the full picture going in is far better positioned than one who finds out mid-process.

By the end, the owner walks away with a genuine sense of where their business is valued, a realistic view of what the process looks like, and clear next steps if they decide to move forward.

No cost. No obligation. Just a useful conversation. 💼

Every owner believes their business has untapped potential. Most of them are right. 😂

The challenge is that buyers pay for what has already happened, not what could happen next. Consistent earnings, clean financials, and documented performance are what move the needle on value.

The good news is that closing the gap between potential and performance is exactly what good exit planning is designed to do.

Most business sales don't fall apart because of price. They slow down — and sometimes fall apart — during due diligence.

For Idaho business owners thinking about a future sale, preparation long before a buyer is at the table is what keeps that process moving forward. 📋

Four decades of transactions gives you a particular kind of knowledge. Not just how deals work, but what sellers say when it is all behind them.

At Arthur Berry & Co., those conversations happen more often than people might expect. What we hear is not regret. It is the kind of reflection that makes the next seller better prepared.

Here is what sellers wish they had done differently:

Started preparing two to three years earlier than they did
Built a more transferable business before going to market
Understood their financials more deeply before due diligence began
Engaged their CPA and attorney earlier in the process
Paid closer attention to deal structure, not just the purchase price

If any of this sounds familiar, it might be worth a conversation. Find us at arthurberry.com. 💼

A 150-seat restaurant and bar in the heart of downtown Boise is now available, and a Legacy Liquor License comes with it.

The space spans approximately 3,577 square feet with high ceilings, an open floor plan, a fully equipped high-volume kitchen, and a 40-seat outdoor patio that stays busy through the warmer months. Recent upgrades to the bathrooms, plumbing, facade, windows, and doors mean the next owner walks into a move-in-ready space.

The Boise Legacy Liquor License is included in the asking price -- a rare opportunity to acquire a premier downtown location and a transferable license for a fraction of new build-out costs.

Asking Price: $300,000

Nobody builds a business by letting go easily. That instinct is exactly what made it successful. 😅

But when it comes time to sell, buyers need to see a business that runs on systems and people, not just the owner. Starting to delegate before you have to is one of the most valuable things you can do for your eventual exit.

Buyers don't just look at how much revenue a business generates — they look at how reliable it is.

Crossing the 40% recurring revenue mark is where buyer interest and valuation premiums start to shift meaningfully. For Idaho business owners, building predictable revenue isn't just good operations — it's good exit strategy. 📊

A well-established gastropub in one of the Treasure Valley's fastest-growing communities is now available, and the liquor license comes with it.

This from-scratch American fare concept launched in 2019, built a loyal local following, and came through the most difficult period in modern restaurant history profitable and growing. The business runs across multiple revenue channels including weekend brunch, happy hour, a 60-seat patio with indoor/outdoor bar, and online ordering. A tenured general manager and kitchen manager run daily operations.

Asking Price: $1,875,000 plus inventory

Going to market does not pause the business. It adds to it.

What we see consistently is that sellers who do not plan for the distraction of being listed feel it in their operations. A business showing signs of declining performance while it is on the market raises questions no seller wants to answer.

Here is what staying operationally strong looks like during the listing period:

Delegate decisions and responsibilities to key employees before the process starts
Protect your financials — the months you are listed become part of what buyers evaluate
Keep the circle small internally to maintain normal operations
Stay close to key customer and vendor relationships
Lean on your broker to manage the transaction side so you can focus on the business

The business you close on should look as strong as the business you listed. 💼
